Board of Directors

On April 30, 2026, the new Board of Directors was elected by the Company’s shareholders at the Annual Shareholders’ Meeting. It currently consists of six members, five of whom are considered independent in accordance with the Novo Mercado regulations.

Members are chosen based on their alignment with the Company’s mission and strategic positioning, as well as criteria such as diversity of knowledge, experience, behavior, cultural aspects, age, and gender to ensure the Company can benefit from a variety of perspectives and a higher quality, more secure decision-making process.

Christiano Antoniazzi Galló Chairman of the Board of Directors

Mr. Christiano Antoniazzi Galló started his career in the e-commerce planning area at JC Penney, in the USA. Later, he worked as an equity investment analyst focused on retail and consumer companies at IP Capital Partners (Brazil), Dynamo Capital (England), and VELT Partners (Brazil). He is currently a partner at Quartz Asset Management and Chairman of the Board of Directors of Lojas Quero-Quero. He holds a bachelor’s degree in Business Administration from Southern Methodist University – Cox School of Business (USA) and an MBA from the University of Cambridge – Judge Business School, in England.

Eduardo Campozana Gouveia Board Member

Mr. Eduardo Campozana Gouveia is an investor and board member at startups such as Allya, PinPeople, Hands, AsaaS, Marvin, Flash, V360, among others. He also serves as a board member at large companies such as Mapfre Seguradora, CI&T Software, Grupo Pereira, in the retail sector, and Inspitali Educação Médica. Mr. Eduardo was CEO of Cielo until August 2018, a company providing payment solutions, technology, and services for the retail sector. Before joining Cielo in early 2017, he served as CEO of Alelo and founded and was CEO of Livelo, a loyalty company of Banco do Brasil and Bradesco. He was the first CEO of Multiplus Fidelidade. Prior to that, he worked at Cielo as Vice President of Sales and Marketing, a position he held between 2006 and 2010. He also held the position of Vice President of Marketing at Walmart Brasil and served as Chief Marketing Officer of Bompreço and General Officer of HiperCard. He started his career at Banco Banorte in the Technology department, later working in the Bank’s product, marketing, and sales departments. The executive holds a bachelor’s degree in Computer Science from Universidade Federal de Pernambuco (UFPE), a specialization degree in Finance from IBMEC, and an MBA in Marketing from Fundação Getulio Vargas (FGV).

Flávio Benicio Jansen Ferreira Board Member

Mr. Flávio Benicio Jansen Ferreira has served as a member of the Board of Directors of Lojas Quero-Quero since 2009. He is also a member of the Boards of Directors of Locaweb Internet S.A., Allied Tecnologia S.A., YDUQS Participações S.A., and Digipix S.A. Flávio is an investor in startups, currently investing in Laqus S.A., OQVestir, and DressAndGo. He was responsible for launching the Submarino.com website, where he served as Technology Director and later became CEO. In the past, he was president of Submarino.com during the company’s IPO on Bovespa, and its merger with Americanas.com resulted in the company B2W. He was a member of the Board of Directors of Fleury S.A., CETIP-SA, International Meal Company S.A., and Grupo IBMEC Educacional S.A. He holds a degree in Electrical Engineering from the Catholic University of Rio de Janeiro (PUC-Rio).

Guilherme Yuiti Miazaqui Board Member

Mr. Guilherme Yuiti Miazaqui is a partner, equity analyst, and member of the Management Committee and Risk Committee at Alaska Asset Management. He has been part of Alaska’s team since 2017. He is a member of the Board of Directors of Lojas Quero-Quero S.A. He holds a degree in Computer Engineering from Escola Politécnica da USP, a technical degree in Business Administration from Escola Técnica Estadual de São Paulo, and the ANBIMA Certification of Fund Managers (CGA).

Jorge Fernando Herzog Board Member

Mr. Jorge Fernando Herzog has 36 years of experience in retail, having held executive positions in renowned chains in Brazil and Mexico, such as Vice President of Grupo Carrefour and Grupo Pão de Açúcar, as well as CEO of Ponto Frio, where he was responsible for the integration with Casas Bahia (Grupo Casas Bahia). He was involved in the process of transforming Grupo Walmart Brasil into Grupo BIG, culminating in its sale to Grupo Carrefour. He is currently a member of the Board of Directors of Lojas Quero-Quero, as well as a member of the Board of MOB2CON Soluções Tecnológicas S.A. and an Advisory Board Member at the retail company Studio Z. Jorge also acts as a mentor and investor in several startups.

Peter Takaharu Furukawa Board Member

Mr. Peter Takaharu Furukawa joined the Company in 2009. Since then, he has held the position of Chief Executive Officer. He is also a member of the Board of Directors of Fortbras and C&A. Before joining Lojas Quero-Quero, Peter served as CEO of IMC, COO of Pernambucanas, CEO of Submarino, Chief Financial Officer at PepsiCo Foods, and Senior Engagement Manager at McKinsey & Co. He holds a degree in Computer Science and an MBA from Brigham Young University, in the USA.

Audit Committee

Carlos Elder Maciel de Aquino Chairman of the Committee

Carlos Elder Maciel de Aquino holds a bachelor’s degree in Accounting from the Federal University of Pernambuco (UFPE), a master’s degree in Accounting and Actuarial Sciences from the Pontifical Catholic University of São Paulo (PUC-SP), and a PhD in Management and Accounting from the University of São Paulo (USP). He also holds an MBA in Finance from IBMEC-SP and an MBA in Management Control from the University of São Paulo (USP-SP), in addition to a specialization in Economic Engineering from the Catholic University of Pernambuco (UNICAP-PE). He served as an executive at companies such as Itaú Unibanco, KPMG and Diagnósticos da América S.A. He is a visiting professor at the Foundation Institute for Accounting, Actuarial and Financial Research (Fipecafi) and at FIA-USP. He is also the author and coauthor of articles published in national and international books and journals on finance, accounting, governance, regulatory matters and auditing. With over 40 years of professional experience, he has held executive positions in the accounting, finance, auditing, healthcare, private pension and nonprofit sectors, in addition to serving as a member of boards of directors, fiscal councils and audit committees, as well as committees for risk management, internal controls, ethics and conduct, anti-money laundering and related-party transactions. He currently serves as Chair of the Audit Committees of Lojas Quero-Quero S.A., LWSA S.A., Allied Tecnologia S.A., Fortbras S.A. and Platina Cosméticos S.A. He is also a member of the Audit Committees of Azzas 2154 S.A., Tokio Marine Seguradora S.A., Tigre S.A. Participações, Grupo Baumgart and Ebanx Holdings LLC. He also serves as a member of the Fiscal Council of Folha Participações S.A. He is certified as a board member, fiscal council member and audit committee member by the Brazilian Institute of Corporate Governance (IBGC) and is also a member of the American Accounting Association (AAA).

Catia Valeria de Paiva Porto Member of the Committee

Ms. Catia Porto holds a degree in Psychology from PUC-RJ, a post-graduate degree in Human Resources Management from the Federal University of Rio de Janeiro, and several extension courses from business schools such as Wharton, IMD and Stanford. She is a Human Resources executive and has developed an international career, having studied and worked in the United States, Mexico, Japan, Finland and the United Kingdom. Brazilian, with British nationality, she studied at Dakota Wesleyan University, focusing on dual degrees in Psychology and Business Administration. She has over 25 years of experience in Human Resources and more than 15 years leading large teams in Brazil and abroad. Her career spans several disciplines within Human Resources, with solid experience in cultural transformation, leadership development, start-ups, business transformation/turnaround and mergers and acquisitions. She has worked for multinational companies in the technology, consumer goods, services and healthcare sectors, serving at companies such as AIG, UCI Cinemas, Nokia, British American Tobacco (BAT)/Souza Cruz, UHG (United Health Group), Grupo Big, Grupo Carrefour and Vale.
